Terms of Service
Effective: May 1, 2026
These Terms of Service (“Terms”) govern your access to and use of Honyaku, a Slack translation service (the “Service”) provided by Akatsuki AI Technologies Inc. (“Akatsuki,” “we,” or “us”). By installing Honyaku to a Slack workspace or using the Service in any way, you agree to these Terms. If you do not agree, do not install or use the Service.
Slack and any services provided by Slack Technologies, LLC are governed by Slack’s own Customer Terms of Service and are not part of the Service.
1. Eligibility and accounts
If you are accepting these Terms on behalf of a company, organization, or other legal entity (“Customer”), you represent that you have authority to bind that entity, in which case “you” means the Customer. The Customer and all of its users are jointly responsible for compliance with these Terms; any breach by a user of the Customer is treated as a breach by the Customer.
You must be at least 16 years old to use the Service. The Service is designed for use in a workplace.
2. License
Subject to your compliance with these Terms and payment of all applicable fees, Akatsuki grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your internal business purposes during your subscription term.
3. Signup and Slack OAuth
Honyaku is installed via Slack OAuth. When a workspace administrator authorizes the installation, Slack provides us with the workspace identifiers and a bot access token described in our Privacy Policy. You agree to keep the information associated with your account accurate and up to date.
4. Plans, fees and renewal
4.1 Free trial
New workspaces are eligible for a 14-day free trial of the Starter feature set. No credit card is required to start the trial. At the end of the trial, the Service will require an active paid subscription to continue translating.
4.2 Subscription fees
Paid subscriptions are billed monthly in advance via Stripe in the currency listed on the pricing page (Japanese Yen unless otherwise agreed). All fees exclude consumption tax (and any other applicable taxes), which will be added at the rate prevailing on the invoice date. By subscribing you authorize us, through Stripe, to charge your payment method on each renewal.
4.3 Usage and hard caps
Each plan includes a monthly character cap calculated on input characters (the source text or OCR/extracted text for images and PDFs). When the cap is reached, translations are blocked for the rest of the billing period. Cap-blocked attempts are not billed.
4.4 Auto-renewal
Your subscription renews automatically at the then-current price for the same plan unless you cancel before the next renewal date. Cancellation procedures and refund rules are set out in our Refund & Cancellation Policy.
4.5 Price changes
We may change fees with at least 14 days’ advance notice (by email, in-product notice, or website). Continued use after the notice period constitutes acceptance of the new fees. If you do not accept, you may cancel before the new fees take effect.
4.6 Failed payment
If a renewal payment fails, we will retry collection and notify you. We grant a 3-day grace period during which the Service continues to operate. If payment is not collected by the end of the grace period, the workspace will be suspended until payment is brought current.
5. Acceptable use
You agree not to, and not to permit any user of your workspace to:
- Use the Service to translate content that is unlawful, infringing, defamatory, harassing, hateful, sexually exploitative of minors, or otherwise harmful;
- Submit content for which you do not have the necessary rights and consents (you are responsible for the lawfulness of any text, image, or PDF sent to the Service);
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent that applicable law expressly permits;
- Resell, sublicense, time-share, or use the Service to provide a translation service to third parties without our written consent;
- Circumvent or attempt to circumvent usage caps, abuse-prevention measures, or Slack rate limits;
- Use the Service to build a competing product, train an AI model on its outputs at scale, or scrape its responses;
- Interfere with the security or integrity of the Service, or use it in a way that could cause harm to Akatsuki, our sub-processors, or other customers.
6. Customer content
“Customer Content” means any text, image, PDF, or other content you or your users submit to the Service for translation, together with the resulting translations. As between you and Akatsuki, you retain all rights in your Customer Content.
You grant Akatsuki a worldwide, royalty-free, non-exclusive licence to process Customer Content solely as necessary to provide the Service (including transmitting the content to our sub-processors). We do not use Customer Content to train AI models, and we do not sell Customer Content. We may use anonymous, aggregated metrics derived from your usage (such as character counts and processing times) to operate and improve the Service.
You represent and warrant that you and your users have all rights necessary to submit the Customer Content and that doing so does not violate any third-party rights or applicable law.
7. Confidentiality and security
We maintain the security measures described in our Privacy Policy and apply industry-standard protections to Customer Content while in our care. You are responsible for keeping your Slack workspace and dashboard credentials secure and for notifying us promptly of any suspected unauthorized access.
8. Service changes and availability
We may from time to time modify, add, or remove features of the Service. We aim to provide reasonable advance notice of material changes. Honyaku is provided as a hosted service and may be subject to downtime for maintenance or due to events beyond our reasonable control; we do not guarantee uninterrupted availability unless expressly committed in a separate written agreement.
9. Termination
9.1 By you
You may cancel your subscription at any time through the Stripe Customer Portal — open the dashboard Overview page, click Customer Portal on the Subscription card, and select Cancel subscription. Cancellation takes effect at the end of the then-current billing period (see the Refund & Cancellation Policy).
9.2 By us
We may suspend or terminate your access to all or part of the Service, with or without prior notice, if you breach these Terms, fail to pay when due, engage in conduct that we reasonably consider abusive or unlawful, or if required by law. Where reasonably practicable, we will notify you and give you an opportunity to cure the issue before termination.
9.3 Effect of termination
Upon termination your right to use the Service ceases immediately. We will delete or anonymize your data in accordance with the retention rules set out in the Privacy Policy. Any provision of these Terms that by its nature should survive termination (including ownership, disclaimers, indemnity, limitation of liability, and governing law) will survive.
10. Intellectual property
The Service, including all software, designs, trademarks, and documentation, is and remains the exclusive property of Akatsuki and its licensors. Except for the licence granted in Section 2, no rights are transferred to you. Any feedback or suggestions you provide may be used by Akatsuki without restriction.
11. Customer logos
Unless you tell us otherwise in writing (email is fine), we may identify you as a Honyaku customer using your name and logo on our website and in marketing materials. To opt out, contact support@honyaku.app.
12. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. AKATSUKI DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT TRANSLATIONS WILL BE ACCURATE OR COMPLETE. MACHINE TRANSLATION IS PROBABILISTIC; YOU ARE RESPONSIBLE FOR REVIEWING TRANSLATIONS BEFORE RELYING ON THEM FOR DECISIONS WITH LEGAL, FINANCIAL, OR SAFETY IMPLICATIONS.
13. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AKATSUKI’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE TOTAL FEES YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IF YOU ARE ON A FREE TRIAL OR HAVE NOT PAID ANY FEES, AKATSUKI’S AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED (100) US DOLLARS. NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
14. Indemnity
You agree to indemnify and hold harmless Akatsuki and its directors, officers, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your or your users’ use of the Service, (b) your Customer Content, or (c) your breach of these Terms or applicable law.
15. Force majeure
Neither party will be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor disputes, government action, internet or telecommunications failures, or failures of third-party services on which the Service depends.
16. Governing law and jurisdiction
These Terms are governed by the laws of Japan, without regard to its conflict of laws rules. The parties submit to the exclusive jurisdiction of the Tokyo District Court, Japan, as the court of first instance for any dispute arising out of or relating to these Terms or the Service.
17. Changes to these Terms
We may modify these Terms with at least 14 days’ advance notice (by email, in-product notice, or website). Continued use after the notice period constitutes acceptance. If you do not accept the modifications, you may cancel your subscription before they take effect.
18. Miscellaneous
These Terms (together with the Privacy Policy and Refund & Cancellation Policy) constitute the entire agreement between you and Akatsuki regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remainder will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a merger, acquisition, or sale of assets. Notices to Akatsuki should be sent to support@honyaku.app.
